Steward owns eight hospitals in Massachusetts:
Stewardship Health, Inc., the physicians’ organization, is being proposed for sale to Optum. This process will take some time. As stated in the Health Policy Commission Notice of Material Change Form:

Stewardship Health, Inc. is the sole corporate member of Stewardship Health Medical Group (SHMG), the sole stakeholder of Steward Health Care Network, Inc. (SHCN) and an equity holder in related business (Stewardship).

SHMG employs primary care and various other clinicians that provide care to patients in clinical practice locations across nine states, including Mass.

SHCN is a contracting organization that enters into various value-based, risk based and other payor contracts on behalf of providers in Steward Health System.

SHI provides administrative and other non-clinical business support services to SHNG and SHCN

SHCN is the managed care contracting entity of the medical group and affiliated private practices.
Under the proposed materials change Collaborative Care Holdings, LLS a Delaware LLC through its OptumCare business (OptumCare) would acquire from SOH all of the issued and outstanding capital stock of SHI. MMS will continue to monitor this
transaction.
